Terms and Conditions for ColdSafe
1. Introduction
1.1 These Terms and Conditions govern the provision of cold room storage design and installation services by ColdSafe (“the Company”) to the client (“the Client”).
1.2 By engaging the Company’s services, the Client agrees to these Terms and Conditions.
2. Services
2.1 The Company will provide design and installation services for cold room storage solutions as per the specifications agreed with the Client.
2.2 All services will be performed with reasonable skill and care.
3. Quotations and Payments
3.1 All quotations are valid for 30 days from the date of issue.
3.2 A 50% deposit is required upon acceptance of the quotation, with the balance due upon completion of the installation.
3.3 Payment terms are strictly 30 days from the date of the invoice.
4. Client Obligations
4.1 The Client must provide all necessary information and access to premises to enable the Company to perform the services.
4.2 The Client is responsible for ensuring that the installation site meets all necessary regulatory and safety requirements.
5. Warranties and Liability
5.1 The Company warrants that the services will be free from defects in workmanship for a period of 12 months from the date of installation.
5.2 The Company’s liability for any claim arising out of the performance of its services is limited to the amount paid by the Client for those services.
5.3 The Company is not liable for any indirect, consequential, or special damages.
6. Intellectual Property
6.1 All designs, drawings, and technical specifications provided by the Company remain the intellectual property of the Company.
6.2 The Client is granted a non-exclusive, non-transferable license to use these materials solely for the purpose of the project.
7. Termination
7.1 Either party may terminate the agreement by providing 30 days written notice.
7.2 Upon termination, the Client must pay for all services rendered up to the date of termination.
8. Governing Law
8.1 These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.
8.2 Any disputes arising under or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Force Majeure
9.1 The Company is not liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, war, or industrial action.
10. Amendments
10.1 The Company reserves the right to amend these Terms and Conditions at any time. Any changes will be communicated to the Client in writing.
By engaging with ColdSafe, the Client acknowledges that they have read, understood, and agree to these Terms and Conditions.
